1. Agreement to Terms

By accessing or using VirtualCup Solutions or any of our products ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

VirtualCup Solutions provides digital tools and IT services designed to help local businesses grow, connect with customers, and build their online presence. Our current products include:

CollectStory: a platform for collecting and showcasing customer testimonials and reviews
Frontdeskly: an AI receptionist that answers customer messages on Facebook Messenger and Instagram
CourtSpace: a pickleball court booking platform that connects players with independent venues, where players find and book open courts and venue owners manage their courts, bookings, and payments
TAPATax: BIR-compliant automated bookkeeping for Philippine online sellers
Whole Life Story: a digital memorial platform for Filipino families, paired with engraved QR keepsakes that link to a permanent memorial page
Qusina: QR-based table ordering and floor management for cafés, restaurants, and pubs

We also provide custom software development, IT consulting, and other business technology solutions, and may introduce additional products from time to time. Unless we state otherwise, new products are governed by these Terms from the date they launch.

2.1 Product-Specific Terms

Individual products may have supplementary terms, in-app agreements, or subscription terms specific to that product (for example, Frontdeskly's messaging automation terms, TAPATax's bookkeeping disclaimers, Whole Life Story's memorial page and keepsake order terms, or CourtSpace's Terms of Use, Payments Policy, and Owner Agreement published at courtspace.app). Those product-specific terms apply in addition to these Terms and control over these Terms in the event of a direct conflict for that specific product.

3. User Accounts

To use certain features of our services, you may need to register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your account information to keep it accurate
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

4. Service Agreements and Payment

Specific services may have their own terms, pricing, and payment arrangements:

Custom development projects will be governed by separate service agreements
Subscription-based products (such as CollectStory, Frontdeskly, TAPATax, and Qusina) operate on their own subscription terms and billing cycles
Whole Life Story is sold as a one-time payment per memorial page and per keepsake ordered, not a subscription. There is no recurring fee for a published memorial page to remain online, and we will not take a page down for non-payment
CourtSpace is free for players. Court bookings are agreements between the player and the venue: players pay the venue directly, and each venue sets its own rates, deposits, and cancellation rules under the CourtSpace Payments Policy. VirtualCup Solutions is not a party to the booking and does not hold booking payments
Payment terms will be specified in individual service agreements or product terms
All fees are non-refundable unless otherwise specified in writing or required by law. Refunds for Whole Life Story orders are handled under Section 8

5. Acceptable Use

You agree not to:

Use our services for any illegal purpose or in violation of any laws
Collect, store, or process personal data in violation of applicable privacy laws
Impersonate any person or entity or misrepresent your affiliation
Create a memorial page for a person you are not authorized by their family to represent, or publish information about a living person without their consent
Interfere with or disrupt our services or servers
Attempt to gain unauthorized access to any portion of our services
Use automated systems to access our services without permission
Reverse engineer, decompile, or disassemble any software provided by VirtualCup Solutions

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by VirtualCup Solutions and is protected by international copyright, trademark, and other intellectual property laws.

For custom development projects, intellectual property rights will be specified in individual service agreements. You retain ownership of your business data and content. By using the Service, you grant VirtualCup Solutions a limited license to use, store, and process your data solely to provide the Service.

7. Third-Party Services

VirtualCup Solutions integrates with a number of third-party services to power our products, including Meta Platforms (Facebook and Instagram, for Frontdeskly's messaging features), OpenAI (for Frontdeskly's AI-generated replies), and PayMongo and Xendit (for subscription billing and, for TAPATax, transaction data and, for Whole Life Story, order checkout), and SMS and email delivery providers (for CourtSpace verification codes and booking messages). We also work with local production partners and couriers to engrave and deliver Whole Life Story keepsakes. Your use of these integrations is also subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Memorial Pages and Keepsakes (Whole Life Story)

8.1 Authority to Create a Memorial

By creating a memorial page, you represent that you are a lawful heir of the deceased person, a member of their family, or otherwise authorized by the family to publish information about them. You are responsible for the accuracy of what you publish and for having the right to publish every photograph, recording, and document you upload. We do not verify family relationships before a page is created. If we receive a credible objection from a family member, we may restrict or remove a page while we look into it.

8.2 Page Addresses

When you publish a page you choose its web address. Addresses are issued on a first-come basis, must not impersonate another person or infringe anyone's rights, and are fixed once chosen. Renaming the person on the page does not move it. We may reclaim or change an address that infringes a third party's rights, impersonates someone, or was obtained in bad faith.

8.3 Permanence

We intend published memorial pages to remain online permanently, and we charge no recurring fee for that. "Permanent" means we will not remove a page for non-payment and have no plan to retire the service; it is not a guarantee that we, or any provider, will exist forever. If Whole Life Story is ever discontinued, we will give reasonable notice and provide a way to export page content. Nothing in this section creates an obligation beyond what Section 12 permits.

8.4 Content You Publish and Contributions from Visitors

You retain ownership of the content you publish. You grant us the licence needed to host, display, and deliver it as part of the service. A published page is publicly reachable by anyone with its address or QR code. Visitors may leave guestbook messages and virtual candles; page administrators can moderate, hide, or delete these. We may remove content that is unlawful, infringing, or abusive.

8.5 Physical Keepsakes, Delivery, and Refunds

Engraved plates, frames, and pendants are made to order. Because each item is personalized with a specific person's details, it cannot be resold and is not returnable once production has begun, except where the item arrives damaged, defective, or engraved differently from the details you approved, in which case we will replace it at no charge. You are responsible for checking names, dates, and spelling before approving an order for production.

Physical items are delivered within the Philippines only. Orders for delivery outside the Philippines may include digital products only
Delivery estimates, including delivery to a wake, are estimates and not guarantees. We are not liable for courier delays or for an item arriving after a particular date or event
Engraved and printed materials may vary slightly from on-screen previews in colour, finish, and texture
Prices are charged in Philippine pesos and include delivery within the Philippines

This section does not limit any right you have under Philippine consumer protection law, including the Consumer Act of the Philippines (Republic Act No. 7394).

9. No Professional Advice (TAPATax)

TAPATax is a bookkeeping and record-preparation tool designed to help you organize transaction data and estimate tax computations. It does not constitute tax, legal, accounting, or financial advice, and is not a substitute for a licensed accountant, tax practitioner, or lawyer. You are solely responsible for:

Reviewing all records, computations, and filings generated through TAPATax before submission
Ensuring the accuracy and completeness of the data you connect or upload
Your compliance with all applicable BIR requirements and deadlines

VirtualCup Solutions is not liable for any penalties, surcharges, interest, or other consequences arising from filings, computations, or records prepared using TAPATax.

10. Automated and AI-Generated Content (Frontdeskly)

Frontdeskly uses artificial intelligence to generate automated replies to your customers based on the business information you provide. AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate for a given situation. You are responsible for:

Reviewing and keeping your business knowledge base accurate and up to date
Monitoring conversations handled by Frontdeskly and intervening where necessary
Any communications sent to your customers through your connected Facebook Page or Instagram account

VirtualCup Solutions is not liable for any loss, dispute, or damage arising from automated messages sent on your behalf through Frontdeskly.

11. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

12. Limitation of Liability

To the maximum extent permitted by law, VirtualCup Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your use of our services at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.
